• "Project" refers to the specific web design or development undertaking agreed upon between Zenith Trails and the Client.

2. Service Engagement and Agreement

• All projects begin with an initial consultation and the provision of a detailed proposal outlining the scope of work, deliverables, timelines, and costs.
• Acceptance of our proposal, either in writing or by making a payment, signifies your agreement to these Terms and Conditions.
• Any changes to the project scope must be agreed upon in writing and may incur additional charges and affect project timelines.

3. Payments and Fees

• Payment terms, including deposit requirements, milestone payments, and final payment, will be specified in the project proposal.
• All invoices are due upon receipt. Late payments may incur interest charges as permitted by law.
• Zenith Trails reserves the right to suspend or terminate services, including website hosting, if payments are not made as agreed.

4. Client Responsibilities

• You agree to provide all necessary content (text, images, logos, etc.) in a timely manner and in the requested formats. Project delays due to late content provision are not the responsibility of Zenith Trails.
• You are responsible for obtaining all necessary permissions regarding the use of content, including copyrighted material, photographs, and logos.
• You are responsible for reviewing and approving all stages of the project as outlined in the project timeline.

5. Intellectual Property

• Upon final payment, the intellectual property rights for the completed website design and code developed specifically for the client will be transferred to the client.
• Zenith Trails retains the right to use the completed project as part of its portfolio and for marketing purposes.
• Any third-party software, plugins, or stock imagery used in the project remain subject to their respective licenses.

6. Warranties and Limitations of Liability

• Zenith Trails warrants that our services will be performed in a professional manner consistent with industry standards.
• We do not warrant that our services will be uninterrupted or error-free, nor do we guarantee specific results from SEO optimization, as ranking factors are outside our direct control.
• Zenith Trails shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use our services or the website created.

7. Website Maintenance and Support

• Website maintenance and support services are offered under separate agreements and are not included in the initial web design project unless explicitly stated.
• Our support covers issues related to the functionality of the website as developed by us. It does not cover problems arising from client modifications, third-party plugins, or hosting issues not managed by Zenith Trails.

8. Termination

• Either party may terminate a project agreement with written notice if the other party breaches these Terms and fails to remedy the breach within a reasonable timeframe.
• In the event of termination by the client before project completion, Zenith Trails reserves the right to retain any deposits and will invoice for work completed up to the date of termination.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
